Terms & Conditions
Merchandise. Vendor agrees to provide the merchandise in accordance with the applicable purchase
order, scope of work with these Terms and Conditions (Agreement). Upon acceptance of payment of
goods for shipment, the vendor shall be bound by the provisions of this Agreement, including all
provisions set forth on the face of any applicable purchase order, whether buyer acknowledges or
otherwise signs this Agreement or the purchase order, unless buyer objects to such terms in writing
prior to shipping of goods.
This Agreement may not be added to, modified, superseded or otherwise altered, except by writing
signed by an authorise 'RS' representative. To the extent that this Agreement might be treated as an
acceptance of Vendor's prior offer, such acceptance is expressly made on conditions of assent by buyer
to the terms hereof and shipment of the goods shall constitute such assent. 'RS' hereby reserves the
right to reschedule any delivery or cancel any purchase order issue at any time prior to shipment of
goods. 'RS' shall not be subject to any charges or other fee as a result of such cancellation.
Delivery. Delivery of merchandise shall be made pursuant to the applicable purchase order. In the
event that Vendor fails to deliver the Goods within the stipulated time due to extenuating circumstances,
'RS' may, at its option, decline the order and terminate the Agreement. Under such
condition the company would refund to buyer according to it's terms and conditions stipulated.
Risk of Loss. Title to the Goods shipped under the Purchase Order shall pass to 'RS' in accordance
with the shipping terms specified in the PO. In the event shipping instructions are not provided, the
applicable shipping terms shall fall under 'RS' specified carriers.
Warranty. Vendor warrants that all merchandise supplied will be new and conform to all applicable
specifications listed. Should buyer upon receipt of merchandise find defects due to manufacturing
faults, buyer must promptly notify Vendor of such problem within 14 days upon receipt of merchandise.
Vendor shall at it's discretion either repair or replace such merchandise within the specified time agreed upon.
Severability. If any provision of this Agreement shall be deemed to be invalid, illegal or unenforceable,
the validity, legality and enforceability of the remaining provisions shall not in any way be affected or
impaired thereby.
Limitation of Liability. In no event shall 'RS' be liable to buyer or any third party for any incidental,
indirect or consequential damages arising out of, or in connection with, this Agreement, whether or
not 'RS' was advised of the possibility of such damage.
